Acceptance of Terms

By accessing or using the OrchStack platform, website, APIs, SDKs, or any associated services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

Description of Service

OrchStack provides a cloud-based platform for building, deploying, and managing AI-powered autonomous agents and workflows. The Service includes the OrchStack Studio (visual agent builder), Runtime (agent execution engine), Control (governance dashboard), REST APIs, TypeScript SDK, CLI tools, and related documentation.

The Service is provided on a subscription basis. Features, capabilities, and usage limits vary by plan. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must provide accurate and complete information when creating your account and keep it up to date. You may not create accounts using automated methods or create multiple accounts to circumvent usage limits.

Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not use the Service to build agents that generate illegal, harmful, or deceptive content, engage in spam or phishing, infringe intellectual property rights, or violate the privacy of others.

You may not attempt to gain unauthorized access to the Service, other user accounts, or the underlying infrastructure. You may not reverse engineer, decompile, or disassemble any part of the Service, except as permitted by applicable law. You may not use the Service to build a competing product.

Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by OrchStack and protected by intellectual property laws. These Terms do not grant you any rights to OrchStack trademarks, logos, or other brand features.

You retain all rights to the content you create, upload, or configure through the Service, including agent definitions, prompts, knowledge bases, and workflow configurations. You grant OrchStack a limited license to host, process, and display your content solely to provide the Service.

Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. OrchStack does not guarantee that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

To the maximum extent permitted by law, OrchStack shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or related to your use of the Service. Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

Termination

You may terminate your account at any time from the account settings page. Upon termination, your right to use the Service ceases immediately. OrchStack will retain your data for 30 days after termination to allow for export, after which it will be permanently deleted.

OrchStack may suspend or terminate your access to the Service at any time if you violate these Terms, engage in abusive behavior, or fail to pay applicable fees. We will provide reasonable notice before termination except in cases of serious violations.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Delaware.
